1. Introduction
These Terms and Conditions (“Terms”) govern access to and use of the website www.forison.com (the “Website”) and any inquiries, quotations, offers, proforma invoices, sales contracts, and deliveries concluded by CPO Spółka z ograniczoną odpowiedzialnością, KRS 0000743564, trading as Forison (“Forison”, “we”, “us”, “our”).
The Website operates as a product catalog and inquiry platform only.
No products are sold directly through the Website.
By using the Website, submitting an inquiry, requesting a quotation, or entering into a contractual relationship with Forison, you confirm that you have read, understood, and accepted these Terms.
If you do not agree to these Terms, you must not use the Website.

3. Scope and Target Group
- The Website is primarily intended for business customers (B2B).
- Consumer sales may occur, but the Website is not designed as a typical consumer webshop.
- Certain rights under these Terms apply only to Consumers, as required by mandatory law.
Consumer means a natural person acting outside their trade, business, craft,
or profession.
Business Customer means any person or entity acting for professional or
commercial purposes.
4. Nature of Website Content
- All product descriptions, configurations, images, drawings, and technical data displayed on the Website are provided for informational purposes only.
- Website content does not constitute a binding offer within the meaning of civil law.
- Final product specifications, pricing, delivery terms, and timelines are defined exclusively in individual written quotations or offers issued by Forison.
5. Inquiries and Quotations
- By submitting an inquiry or requesting a quotation, the Customer submits a non-binding request for information.
- Based on the information provided, Forison may issue an individual written quotation or offer (“Offer”).
Each Offer:
- is non-binding until accepted and paid,
- is valid only for the period stated therein,
- may be withdrawn or amended if not accepted within its validity period.
6. Contract Formation
A legally binding sales contract is concluded only when all of the following conditions are met:
- the Customer accepts the Offer,
- Forison issues a proforma invoice,
- full payment is received by Forison.
Any communication prior to full payment, including inquiries, quotations, and Offers, does not constitute a binding contract.
7. Prices, Taxes and Payment
Prices are stated exclusively in the Offer and/or proforma invoice.
Unless stated otherwise:
- prices are expressed in EUR,
- VAT is applied in accordance with applicable EU and national tax regulations.
Payment is generally made by bank transfer based on a proforma invoice.
In individual cases, Forison may offer alternative payment methods (e.g. payment links) at its sole discretion. The availability of such methods does not create an entitlement for the Customer.
Full payment is required before production, preparation, or delivery begins.
8. Manufacturing and Product Preparation
- Forison does not operate a retail stock model.
- All products are manufactured, assembled, or prepared individually after order confirmation and payment, based on the specifications defined in the Offer.
- Product specifications may be based on predefined configurations or standard models.
- Minor deviations resulting from production processes, material properties, or industrial tolerances do not constitute defects.
9. Changes and Cancellations
- Once production or preparation has started, changes to specifications or cancellation of the order may no longer be possible.
- Any permitted changes may affect price and delivery time.
- Cancellation or withdrawal after production has started may be excluded in accordance with applicable law.
10. Delivery and Transport
- Delivery is arranged by Forison using selected third-party logistics providers.
- The Customer cannot choose the carrier or delivery method.
- Delivery costs and estimated delivery times are specified in the Offer.
- Delivery times are estimates and not guaranteed.
Risk passes:
- to Business Customers upon handover of the goods to the carrier,
- to Consumers upon physical receipt of the goods.
11. Right of Withdrawal – Consumers Only
- Consumers generally have a statutory right to withdraw from a distance contract within 14 days.
- The right of withdrawal does not apply to goods that are manufactured, assembled, or prepared individually after order confirmation, where such exclusion is permitted by law.
- Where the right of withdrawal applies, Consumers will receive relevant instructions in the Offer or order confirmation.
12. Warranty and Conformity
12.1 Consumers
Consumers benefit from statutory conformity and warranty rights under applicable EU consumer protection laws.
12.2 Business Customers
- warranty rights are limited to those expressly agreed in the Offer or contract,
- statutory warranty rights are excluded to the maximum extent permitted by law.
13. Liability
- Forison shall be liable without limitation only in cases where liability cannot be excluded under applicable law, including in particular for damages caused intentionally or by gross negligence, and for personal injury where such liability is mandatorily imposed by law.
- In all other cases, Forison’s liability is limited to foreseeable damages typical for this type of contract.
- Forison shall not be liable for indirect or consequential damages, loss of profit, business interruption, production downtime, or data loss.
Mandatory consumer rights remain unaffected.
14. Force Majeure
Forison shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, pandemics, or governmental actions.
15. Intellectual Property
All content published on the Website, including texts, images, drawings, designs, and trademarks, is the exclusive property of Forison or its licensors and may not be used without prior written consent.
16. Data Protection
Personal data is processed in accordance with applicable data protection laws, including the GDPR. Details are available in the Privacy Policy published on the Website.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Poland.
Jurisdiction:
- for Business Customers: courts competent for Warsaw, Poland,
- for Consumers: courts determined by mandatory consumer protection rules.

18. Amendments
Forison may amend these Terms at any time. The version published on the Website at the time of inquiry applies.
